This Website Design Contract between Philippines Web Design, and Client, is made effective as of 6 June 2013. If at any time the parties may change the extent of the Services, they must indicate in a written “change order” and explain the modifications and the corresponding adjustment to the payment for such changes. The said change order will become effective when agreed by both parties through writing.

Philippines Web Design Completion Date

Philippines Web Design, Client and his associates must work hand in hand reaching satisfactory completion of the Services within the estimated fifteen (15) days of the . The project delivery schedule set forth by the Philippines Web Design will be affected if the Client and associates cannot provide Philippines Web Design with complete materials or information for this project within specified time frame.

Would there be any changes to the website design mock up selected by the Client, the number of revisions will be limited only to three (3). If for instance the first draft is completed by Philippines Web Design, the Client has two (2) days to provide feedback and request revision. The Client will be asked to submit feedback after two days every revision made.

Philippines Web Design Project Delivery

The final web site will be published to Client’s hosting service by Philippines Web Design upon receipt of final and full payment.

All payments will be made in U.S. Dollars through PayPal. In consideration for the Services, the Client will pay Philippines Web Design US$(Total Cost). Client agrees to pay to Philippines Web Design an initial, non¬-refundable deposit of fifty percent (50%) of the payment and is due at the time this agreement is signed. Final Payment is due upon the completion of the website, and obtaining the Client approval that the Services have been fulfilled as per the Contract. Philippines Web Design reserves the right to stop work and/or remove any web portal development project from viewing on the Internet until final payment is made.

While the web site is under development, copyright to the Web Development Project produced by Philippines Web Design will be owned by Philippines Web Design. Client will take full ownership and copyright privileges to the web site once final payment under this Contract and any additional charges incurred have been paid. The Services will/may include some programming code that Philippines Web Design has previously developed for its own use. Philippines Web Design expressly retains full ownership of such code, including all associated rights to use such code. Third ¬party materials (e.g., fonts, scripts, and software) purchased or licensed by Philippines Web Design for this project will remain the property/license of Philippines Web Design unless the Client has reimbursed Philippines Web Design for costs incurred.

Philippines Web Design Credits

Philippines Web Design and its subcontractors have the right to be credited for the work on the Client website by displaying graphics and other web design elements as examples of their work in their respective portfolios. All Web Development Projects will contain a copyright and/or legal statement with some manner of hyperlink to Philippines Web Design web site, with proper approval from Client. It should remain on the Client website for as long as the website produced by the Philippines Web Design remain unaltered.

Proprietary Information
Philippines Web Design agrees not to disclose, divulge or communicate any of Client’s proprietary information and trade secrets, as well as any sensitive information for the personal benefit of Philippines Web Design. Philippines Web Design will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Contract.

Limitation of Liability
Either party shall not be liable under any circumstances to the other party or any third party (such as service provider, telecommunications carrier, internet servers, your or your site visitor’s computer or internet software) for indirect, incidental, or consequential damages (even if that party has been advised of the possibilty of such damages), arising from any provision of this Contract but not limited to, lost profits, lost savings, costs of delay or failure of delivery, or liabilities to third parties arising from any source.

PWD warrants the Client that all software programming, web page, and materials delivered to the Client in connection with the Services are free from defects and faulty workmanship under normal use, and that the Website will operate properly with standards-compliant web browsers. For a period of 90 days from the website is published, Philippines Web Design will correct any software anomalies (“bugs”) that occur because of defects in the source code included in the software, or because of errors related to the hosting service. While no website design process is able to guarantee bug-free results, the Services will be provided in a worklike manner. After such time, $ charge will be incurred per month of such service to be rendered.

The Client warrants to Philippines Web Design that the Client owns or has a legal license to use all photos, text, artwork, graphics, designs, trademarks, and other materials provided by the Client for inclusion in the Website, and that all waivers, authorizations, and other documentation have obtained to evidence such ownership.

Legal Notices
If any part of this Contract is voided by any court, the rest of the Contract remains in full force and effect.

In the event either party may at any time terminate this Contract, a written notice must be given 10 days advance. Client shall be obligated to pay only for actual services provided by the Philippines Web Design in case such termination occurs. Unless otherwise terminated, this Contract will terminate upon completion of the Services.

Contract Amendment
This Contract superseded all prior agreements and understandings between the parties for performance of the Services, and constitutes the complete agreement and understanding between parties. Any modifications not specified in this contract must be requested in writing explicitly agreed by both Philippines Web Design and Client authorities. The parties may amend this Contract in a written document signed by related authorities from both parties namely:
